Terms of Service

VICATEL LTD provides software solutions and consulting services related to governance, risk, and compliance (GRC). Our services include:

• Resale and implementation of Diligent One Platform
• Training and certification programs
• Technical support and maintenance
• Consulting and advisory services

Specific terms for individual services will be outlined in separate service agreements.

By using our services, you agree to:

• Provide accurate and complete information when requested
• Maintain the confidentiality of any account credentials
• Use our services only for lawful purposes
• Not attempt to gain unauthorized access to our systems
• Comply with all applicable laws and regulations in Tanzania

All content on this website, including text, graphics, logos, and software, is the property of VICATEL LTD or its licensors and is protected by intellectual property laws.

You may not:

• Copy, modify, or distribute our content without permission
• Use our trademarks without authorization
• Reverse engineer any software provided by us
• Remove any copyright or proprietary notices from our materials

Diligent and Diligent One are trademarks of Diligent Corporation and are used under license.

Payment terms for our services are as specified in your service agreement or invoice. Unless otherwise agreed:

• All fees are quoted in Tanzanian Shillings (TZS) or US Dollars (USD)
• Payment is due within 30 days of invoice date unless otherwise specified
• Late payments may incur interest at the prevailing Bank of Tanzania rate
• All applicable taxes are the responsibility of the client

To the maximum extent permitted by Tanzanian law:

• VICATEL LTD shall not be liable for any indirect, incidental, special, or consequential damages
• Our total liability shall not exceed the fees paid by you in the 12 months preceding the claim
• We do not warrant that our services will be uninterrupted or error-free

These limitations do not apply to liability that cannot be excluded under applicable law.

Both parties agree to keep confidential any proprietary or sensitive information shared during the course of our business relationship. This includes:

• Business processes and procedures
• Technical information and specifications
• Pricing and commercial terms
• Client lists and contacts

Confidentiality obligations survive the termination of any agreement for a period of 3 years.

Either party may terminate services in accordance with the terms of the relevant service agreement. Upon termination:

• All outstanding fees become immediately due and payable
• Access to services will be suspended or terminated
• Both parties shall return or destroy confidential information
• Provisions that by their nature should survive will continue to apply

These Terms of Service shall be governed by and construed in accordance with the laws of the United Republic of Tanzania. Any disputes arising from these terms shall be subject to the exclusive jurisdiction of the courts of Tanzania.

We reserve the right to modify these Terms of Service at any time. Changes will be effective upon posting to this page. Your continued use of our services after any changes constitutes acceptance of the new terms.
